Terms of Service

1. Acceptance of Terms

By accessing our website, web platform, customer PWA, or scanning any QR code powered by Dexzo, you agree to be bound by these Terms of Service, all applicable laws and regulations in India, and agree that you are responsible for compliance with any applicable local laws.

If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Nature of the Dexzo Platform

Dexzo is a technology platform and Software-as-a-Service (SaaS) provider. We provide restaurants with digital menus, contactless QR-ordering software, kitchen display systems (KDS), and billing management software.

Notice: Dexzo is NOT a food delivery aggregator or restaurant operator. The preparation, pricing, food quality, hygiene, packaging, and actual delivery of food items ordered via Dexzo are solely the legal responsibility of the respective restaurant merchant.

3. Merchant & Restaurant Responsibilities

Restaurants using the Dexzo platform agree to:

• Provide accurate item descriptions, allergen warnings, prices, and tax (GST) rates in their digital menu.
• Maintain all necessary food safety licenses (such as FSSAI registration) and business permits required under Indian law.
• Honor orders placed and confirmed by customers via their designated QR tables.
• Keep their account credentials and API tokens confidential and secure.

4. Customer Orders & Payments

• Order Placement: An order placed via the Dexzo QR menu is transmitted directly to the restaurant kitchen. The order is considered accepted once acknowledged by the restaurant staff.
• Payment Processing: Payments made online are processed through RBI-authorized payment gateways (Razorpay / Cashfree). Customers agree to provide valid UPI IDs, cards, or bank details. Dexzo is not liable for bank network delays or third-party gateway downtime.
• Pay at Counter: If the customer chooses "Pay at Counter / Cash", the total bill amount must be settled directly with the restaurant staff before leaving the premises.

5. SaaS Subscription & Billings

Restaurants subscribe to Dexzo under designated billing plans (Monthly or Annual). Subscription fees are billed in advance. Failure to renew may lead to suspension of digital ordering services after a grace period.

6. Intellectual Property

The Dexzo software, user interface, brand assets, logos, and code are the exclusive intellectual property of Dexzo. You may not copy, reverse engineer, decompile, or create derivative works of any part of our platform.

7. Limitation of Liability

In no event shall Dexzo or its officers be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the platform, food quality disputes, or third-party payment gateway failures.

8. Governing Law & Dispute Jurisdiction

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Aligarh, Uttar Pradesh, India.
